Whereby, firstly, Arthur Edmund Mayo (trading as the Coventry Eagle Cycle and Motor Co., Coventry, Warws.) appoints Henry Parker Wood (of Parker's Buildings, Cape Town, South Africa) his sole selling representative in Cape Colony, Orange River Colony, the Transvaal and Natal, Union of South Africa, for sale of cycles and motor-cycles according to the current price-list, for four years from the date of this deed; secondly, the agent will serve the company's interests during the term; thirdly, the company will furnish the agent periodically with statements of minimum prices; fourthly, the agent will not sell competitors' goods, fifthly, the company will not sell goods to any wholesaler in those territories without giving the agent credit in place of commission; sixthly, on receiving the agent's orders, the company is to supply customers direct, but it has the right to refuse orders prepared by him; seventhly, the company will furnish the agent with a quarterly statement of its South African sales; eighthly, the agent's commission will be payable quarterly; ninthly, the agent's travelling expenses are fixed at £100 p.a., quarterly-paid; tenthly, the previous clause covers all the company's liabilities except commission and urgent telegrams; eleventhly, the company's consent will be necessary for appointment of sub-agents; twelfthly, a quarter's notice will be given for determination of this agreement; thirteenthly, the agreement finishes with receipt of that notice; and fourteenthly, disputes will be referred to a single arbitrator.
