Description:

Whereby, firstly, Herbert Hayward & Co. Ltd. (of 14, High St., Coventry), will make motor cycle engines for Coventry-Eagle (described as in 353/20/19) exclusively; secondly, if Haywards purchase not less than 3,000 engines from Coventry-Eagle the agreement shall continue for the 1933 season (ending 31st. Aug.) and all subsequent ones, finishing if they ever take fewer; thirdly, Haywards will develop required engines provided Coventry-Eagle place an order for at least 1,000 of each type; fourthly, Haywards' engineering-costs may be inspected by Coventry-Eagle; fifthly, Haywards may use any non-motor-cycle engine in their works; sixthly, Haywards will not manufacture motor-cycle engines under their own name; seventhly, suitable wording of guarantee will be made [blank]; eighthly, Coventry-Eagle will pay Haywards by sending 90-day bills on the 10th. of each month following the delivery of that accumulation of engines; ninthly, if Haywards should leave this particular trade they will yield their stock to Coventry-Eagle at a price settled by an independent valuer (if necessary) appointed by the President of Coventry Chamber of Commerce; and tenthly, the last-named personage may appoint an arbitrator.
