Made by Lindsay M. Jopling for Ortons (acting for Warws. Coal Co. Ltd.):- held by the company for some years but not mined, the properties we considered disposable; reiterating 353/18/179, Jopling considers that the company will not be encumbered in selling the land provided (a) the nationalisation Bill is not law by 1st. July, 1946, (b) sale is made in the ordinary course of business; all lots will be subject to option if the Bill has become law by the aforesaid date - if the Bill shall have passed and the company cannot prove that the sale is an ordinary business-transaction, the contract could be discharged and the purchasers would have no defence in an action for damages.
