Description:

Whereby, having recited:- firstly, that by his will (23rd Nov., 1906) William Luke Riley (of Dunboyne, Minehead [Som.,] gent. appointed his brother Sidney Pridmore Riley (in 1928 of Shirley Vicarage, near Birmingham, Warws., clerk in Holy Orders) and his brother-in-law Roland Hollick (in 1928 of Coventry, solicitor) his executors; secondly, that by his first codicil (2nd Mar., 1911) he appointed his wife Edith (in 1928 described as widow of the same address as her late husband) an executrix; thirdly, that his second codicil (22nd Aug., 1914) was irrelevant; fourthly, that by his third codicil (10th Dec., 1915) he appointed his friend Thomas Meredith (of Woodcote Lodge, Kenilworth, Warws., gent.) an executor; fifthly, that the fourth codicil (15th July, 1927) was irrelevant, sixthly, that W.L. Riley died on 17th July, 1927, his will being proved on 23rd Aug. that year; seventhly, that W.L. Riley had agreed with S.P. Riley and the other executors to sell the land hereafter described with other land for £5,326/11/3; eighthly, that W.L. Riley and his executors had agreed that the relevant land would be valued at £1,203/2/6; and ninthly, that the executors have not conveyed the land: therefore, in consideration of £1,203/2/6 paid to them in equal shares, the executors convey to Arthur Day (of The Firs, Lythalls Lane, Foleshill, Warws., florist) and John Orton, M.D. (of Allesley Hall, Allesley, Warws.) two parcels of land at Hen Lane, Foleshill, together covering 3a.1r. 30p. forming part of the Foleshill Hall Estate as shown on an attached plan, with the right to connect them with the water-supply on the land bordering the property on the east (if they desire to build) since conveyed to Thomas Cooksey jun. (reserving to the vendors all mining-rights) to hold in trust for sale, subject also to the mining-provisions of (a) a 2nd Feb., 1906 lease (made between W.L. Riley and the Warws. Coal Co. Ltd., demising for 99 years from 1st Nov., 1905 all mines of coal, cannel, ironstone, iron ore and fireclay) and (b) another of the same date (made between William Frederick Pridmore and the same company relating to land superficially adjacent to (a), which contained covenants to minimise damage). Excepting (a) and (b), the vendors will not be liable for subsidence (by the attached Addenda "A", Day and Orton agree to maintain the southern boundary-fences). The net income and sale-prcoeeds will be held in trust for the purchasers in equal portions. Covenant to produce copies of four scheduled deeds and of W.L. Riley's testamentary papers.?
