Description:

Whereby, firstly, the business maintained by Thomas Edwin Morton (of 35, Russell Terrace, Leamington Spa, Warws., engineer) with William Dutton Jones (of 21, Oxford St., Coventry, electrician) according to scheduled deeds of partnership and variation is dissolved from 14th. Nov., 1936; secondly, Jones will be entitled to retain business assets concerning refrigerators and all relevant stock-in-trade; thirdly, the retiring partner (Jones) will pay all accounts; fourthly, Morton shall retain the remaining assets and discharge all the debts unconnected with the refrigerator department; fifthly, Jones will pay Morton £150 by 30th. Jan., 1937; sixthly,the retiring partner shall assume an order to Refrigerator Components Ltd. for refrigerator parts, and also an order directed to Laurence Scott, Electric Motors Ltd., for refrigerator motors, in both cases indemnifying the continuing partner; seventhly, Jones may use the trade-name "Priory Electric Service"; eighthly, Morton may collect the late partnership's assets (save as aforesaid), settling its accounts; and ninthly, each party will sign documents required by the other for effectuating this deed's provisions.

 

Schedule: two deeds, instituting a partnership between Cyril Taylor and W. D. Jones (16th. July, 1931) and varying it to include T. E. Morton (24th. Jan., 1932).
